1. Agreement to Terms

By accessing or using the ICS Ops website (ics-ops.com) and platform (portal.ics-ops.com), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Service

ICS Ops provides a cloud-based inventory control and order management platform designed for equipment suppliers. The service includes parts inventory management, order tracking, invoicing, job management, equipment booking, and related business tools.

3. User Accounts

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the security of your account credentials.
• You must notify us immediately of any unauthorised access to your account.
• Account access is managed by your organisation's tenant administrator. Contact your administrator for access requests or role changes.

4. Acceptable Use

When using ICS Ops, you agree not to:

• Violate any applicable laws or regulations
• Attempt to access another tenant's data or bypass security measures
• Interfere with or disrupt the platform's infrastructure
• Upload malicious code, viruses, or harmful content
• Use the service for any purpose other than legitimate business operations
• Share your account credentials with unauthorised individuals

5. Data Ownership

You retain full ownership of all data you enter into the ICS Ops platform. We do not claim any intellectual property rights over your business data, including parts information, orders, invoices, and customer records. Your data is isolated within your tenant and is not accessible to other tenants.

6. Service Availability

We strive to maintain high availability of the ICS Ops platform. However, we do not guarantee uninterrupted access and may occasionally perform maintenance that requires temporary downtime. We will endeavour to provide advance notice of planned maintenance where possible.

7. Payment Terms

Subscription fees are agreed upon during onboarding and are invoiced according to the terms of your service agreement. All prices are quoted in GBP (British Pounds Sterling). Late payments may result in suspension of access until the outstanding balance is settled.

8. Limitation of Liability

To the maximum extent permitted by law, ICS Ops shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the service.

9. Termination

Either party may terminate the service agreement with written notice as specified in your service contract. Upon termination, we will provide a reasonable period for you to export your data. After this period, your data will be securely deleted from our systems.

10. Changes to Terms

We may update these Terms of Service from time to time. We will notify active users of any material changes via email or through the platform. Continued use of the service after changes take effect constitutes acceptance of the updated terms.

11. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Scotland and the United Kingdom. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Scotland.
